Raise it up Limited (“Raise it up”) is the creator and operator of The Raise it up platform (”the platform”) an online application that allows an individual, non-profit organisation or entity (the “Organiser”) to host a fundraiser (“fundraiser”) on the Raise it up platform to accept monetary donations (“Donations”) from donors (“donors”) on behalf of the beneficiary of the Fundraiser (“Beneficiary”).
“Raise it up”, “we” and “us” refers to Raise it up Limited. “You” and “Your” refers to each users, downloaders and or viewers of the platform including fundraisers and donors (“users”). Terms of Use updated as at 10th March 2022
Please read these terms carefully.
1. These terms tell you who we are and govern how you use the Raise it up platform. Your use of the website www.raiseitup.com and Raise it up mobile applications is subject to these terms and conditions and by downloading, viewing and/or using the website and app you are accepting and agreeing to be bound by them. These terms and conditions may change from time to time and the latest version of them will govern your use of the app and website from the time of any change. It is your responsibility to check the terms of use in force at the time that you use the platform.
2. Raise it up Limited is a Company registered in England and Wales under Company number 12625084. Our registered address is 86-90 Paul Street London England EC2A 4NE.
3. The Raise it up platform is a fundraising platform designed to bring together fundraisers and donors. Raise it up does not directly arrange fundraising activities or handle any donations made to any fundraiser.
4. We are not a charity, broker or financial institution - The platform offered is for administrative purposes only. The Raise it up platform facilities the set up of fundraisers and permits donors to make donations to the fundraisers they want to support. Raise it up is not a charity, broker or financial institution.
5. No Solicitation - Raise it ups platform is offered to users to help them raise money by using the technology offered via raiseitup.com or by using the Raise it up IOS and Android app. The existence of the platforms is not a solicitation of donations by Raise it up, and Raise it up does not engage in any such activity. By using the platforms, you understand and agree that Raise it up shall not be responsible for the use of your donations given to any fundraisers.
6. It is up to each donor to satisfy yourself that you wish to contribute to any fundraiser and that the fundraiser is a legitimate entity raising funds appropriately. Raise it up does not control, warrant or guarantee any fundraiser and has no control over the purposes for which they use the donations. You accept that when you use the platform.
7. The platform interacts with a Third Party Payment handler (“the payment handler”). By using the platform you accept and agree that we may share information with the payment handler so that the payment handler can comply with its verification process and so that we can provide the services of the platform. In the UK that payment handler is Stripe Payments Europe, Ltd. By using the platform to arrange a fund or donate to a fund you are accepting that Raise it up does not control or in any way benefit from proceeds paid to any fundraiser. By using the platform you accept that any and all payments to the payment handler and any and all funds set up by the payment handler are governed by the payment handler’s terms and conditions and Raise it up has no control over the same. 8. Payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to or continuing to operate as an account holder on Raise it up, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Raise it up enabling payment processing services through Stripe, you agree to provide Raise it up accurate and complete information about you and your business, and you authorise Raise it up to share it and transaction information related to your use of the payment processing services provided by Stripe.
2.1. The platform is open to any fundraiser to raise funds for any purpose on condition that you operate within the Raise it up rules of conduct for fundraisers. We will not actively seek to edit or control your fundraiser and the material you provide in support of it. Compliance with these rules is your responsibility. We do reserve the right to remove content or to take any other steps we deem necessary, in our sole discretion, if these rules are not complied with.
2.2. Rules of Conduct for fundraisers;
(a) You must accurately state who you are and what your fund will be used for. This includes but is not limited to, misrepresenting any aspect of your identity or any aspect of any affiliation with any other person or fund or fundraiser.
(b) You must inform Raise it up immediately should you become bankrupt and cease any use of the platform as well as inform any donors of the same.
(c) If you are raising funds on behalf of any third party it is your responsibility to ensure that they have no objection to your use of the platform, or of any use of, or description 2 of, them, and or use of content owned by, or copyrighted to them. For the third party to access the funds raised on their behalf they must set up a Raise it up account prior to withdrawal, failure to do so will result in the funds being returned to the donors.
(d) You are responsible for the content that you upload to the platform. You must not upload content that is offensive, obscene, racist or defamatory or in any way unlawful.
(e) You are responsible for ensuring that you have the right to use and to disseminate any content that you upload to the platform. You must not breach the copyright or any other right of any third party or breach any duty you have to any third party.
(f) You must, at all times, use the platform in a responsible manner. Including but not limited to, not encouraging irresponsible or high risk activity by example or otherwise.
(g) You must, at all times, use the platform and its associated services in a legal manner. You must adhere to any laws and or statutes, local or otherwise governing the conduct of your fund and or yourself. This includes but is not limited to, your duties under data protection legislation and money laundering regulations.
(h) You must be at least 18 years of age to set up a fundraiser and at least 13 years of age to make a donation on the platform.
2.3. Raise it up has the sole discretion to determine whether any fundraiser or any content associated with you is in breach of these rules. If we consider that you are, or it is, then we reserve the right to;
(a) Remove any content or all content associated with any fund or fundraiser
(b) To remove any individual fundraiser from the platform without notice
(c) Place your fundraiser on hold thereby restricting any withdrawals of funds or other such actions as we deem necessary.
2.4. Raise it up may also, at our sole discretion,
(a) Refuse any fundraiser or fund access to the platform
(b) Remove any fundraiser or fund that we judge to be no longer active
2.5. UK Tax payers only: Gift Aid - The platform allows for fundraisers who are eligible to do so, to request a reclaim of Gift Aid under the UK government Gift Aid scheme (“Gift Aid”). It is your responsibility to ensure that you are eligible to use this service and to satisfy yourself as to your donors eligibility. We take no responsibility for the collection of monies under, or the applicability of the scheme to, your fund or to the donors to your fund.
2.6. Verification - The platform allows for the verification of fundraisers. You are responsible for providing correct information in respect of the verification process and by using the verification process you give us permission to seek out and use any data that we deem relevant to the 3 verification process. Verification is at our sole discretion and may be removed by us without notice if, at our sole discretion, we deem it appropriate to do so.
2.7. Raise it up sponsored fundraisers – from time to time we will choose a cause to sponsor ourselves. Although it will still be an arms length arrangement between a fundraiser and the donors, Raise it up will assist in adding content and promoting the fundraiser. In addition Raise it up will donate 5% of all voluntary donations to the Raise it up platform to the sponsored fund for the period of the sponsorship (this will generally be one a month but will be notified in the information for the fundraiser).
2.8. Our platform is currently only available to fundraisers resident in the United Kingdom
3.1. All donations are at your own risk - Fundraisers may be set up by registered charities, private individuals or other persons or entities. It is up to you to satisfy yourself that you wish to donate to a fundraiser. Raise it up will use its best endeavours to enforce the rules of conduct for fundraisers but we do not warrant or guarantee that all rules will, or will at all times, be followed and we take no responsibility for how your donations are used and/or for any concern or dissatisfaction that you may have with how your donations are used.
3.2. Disclosure of personal information - Unless as a Donor you opt out of such disclosure through the Raise it up platform, you acknowledge and agree that in accordance with the privacy policy, some of your personal information will be shared with the charity you donate to and may be used by the charity to issue a donation receipt in accordance with the charities own privacy policy. Raise it up shall not be liable for how charities use your information.
3.3. Tax credits - Raise it up makes no representation as to whether any of your donations are tax deductible or eligible for tax credits when donating to any fundraiser on the Raise it up platform. Please seek your own legal advice.
3.4. Use of donations - When making a donation to a charity on the Raise it up platform (established under the applicable laws of incorporation as a charity), Donors are not permitted to impose any restrictions on the use of their donation. If a donation is made in response to an appeal by a charity for a specific reason, any such directions shall constitute non-binding recommendations only and the charity shall have full discretion to determine how all donations will be used once received.
3.5. Unauthorised donations - When you make a donation to a fundraiser, the transaction is final and not disputable unless unauthorised use of your payment card or other payment method is proved to the Raise it up team. Please contact contact@raiseitup.com if you have believe a donation has been made unlawfully.
3.6. Promotions/offers/rewards - Raise it up is not responsible for any offers, rewards or promotions made or offered by fundraisers on the platform, such behaviour violates these terms of service offered.
3.7. No Fees - There are no fees to organisers to set up a fundraiser but you should be aware that the payment handler fees are deducted from each donation (hereinafter and on the website referred to as “Transaction fees”.) 3.8. Raise it up Voluntary tips – You will be asked when you make your donation if you wish to leave a tip for the Raise it up team. If you choose to do so your tip will be used both to assist with the running expenses of the platform but also from time to time and, as notified in the information on the platform, to contribute to a specific Raise it up sponsored fundraiser.
3.9. Verification – Where a fundraiser has used our verification process to verify their identity we will indicate that on their profile with a green tick. Although we will use our best endeavours to ensure that any verification is accurate we do not offer any guarantee or warranty in respect of the verification. Specifically but not limited to, we take no responsibility for any fraud or criminal activity or misrepresentation, deliberate, negligent or otherwise on the part of any fundraiser.
3.10. Protecting your account - When you sign up to Raise it up and choose a password to secure your account, you are solely responsible for protecting the confidentially of your password to prevent others gaining access to private information. 3.11. Anyone who can make a donation that is capable of acceptance by the payment handler can be a donor. The payments are governed by the terms and conditions of the payment handler https:// stripe.com/gb/legal
4.1. Receiving funds- Raise it up is not a payment processor and do not hold funds. As a charity on the Raise it up platform, receipt of donations is subject to the applicable payment processors terms and conditions.
4.2. Payment processors - The Raise it up platform uses stripe to process its donations to charities. Although exceptions can be made, Charities in the United Kingdom, United States, Australia and Canada will use stripe. When Stripe processes a donation through the platform for a Charity, the donation will go directly from the donor to the charity’s merchant account. Donations will appear on the Donors credit card statement under the name of the charity which the donor contributed to during a fundraiser on the platform. 4.3. Donor information and lists - Charities operating on the Raise it up platform may have access to information about an organiser of a fundraiser, such as donor list data that may be needed for transactional and compliance purposes. This data could include donors name, email address, home address, donation amount, time and date of the donation, name of the fundraiser and transaction ID. During the donation process, unless a Donor ticks the “Anonymous” tick box, the donor consents to the disclosure of Donor’s Donor data as described herein, including without limitation, disclosure as part of a donor list.
4.4. Taxes - As a charity on the Raise it up platform is it your sole responsibility to determine what taxes apply to the donations you receive for the appropriate tax authority, should any apply.
5.1. Ticketing – The platform allows for a ticketing system to be added to any fundraiser (“the ticketing system”). The ticketing system generates numbered etickets that can be sent to donors. The ticketing system can also randomly select a single numbered ticket on your instruction.
5.2. Use of the ticketing system is at your own discretion and must adhere to the rules of conduct herein. It is your responsibility to ensure that it does so.
5.3. Any contract, arrangement, promise or commitment represented by the ticket is a contract, arrangement, promise or commitment between you and the fundraiser and Raise It up is not a party to, nor does it warrant or guarantee, any such contract, arrangement, promise or commitment. We are not responsible in any way for the underlying activity, promotion or otherwise.
5.4. The ticketing system is able to select one or more issued ticket numbers at random. If a fundraiser asks us to generate a random ticket number from the etickets issued for any purpose, we will do so, but we take no responsibility for the number generated or for any dispute arising in respect of the same which will between you and the fundraiser.
5.5. Rewards – Any reward, reward scheme or prize (“reward") howsoever offered, including through our platform, and by whosoever is not the responsibility of Raise it up. We do not offer any guarantee or warranty in respect of the reward.
6.1. In addition to the terms and conditions set out above it is a condition of use of the platform that all users, whether as donors or fundraisers or otherwise, abide by the following rules of conduct.
(a) You must not post any communications and/or material to or in connection with the platform that contain offensive, obscene, racist, defamatory, misleading, deceptive or unlawful content
(b) In any use of the platform you must not misrepresent your identity or pass yourself off as being, or being affiliated to, any person or other entity that have not authorised you to do so.
(c) Any charity or company must provide their respective charity or company registration number upon signing up to use the platform.
(d) You must inform Raise it up immediately should you become bankrupt and cease any use of the platform as well as inform any of your donors and/or fundraisers of the same.
(e) You must, at all times, use the platform and its associated services only for lawful purposes. You must adhere to any laws and or statutes, local or otherwise when using the platform. It is your responsibility to ensure that your use of the platform is so compliant.
(f) You must not breach our copyright or any other of our intellectual property rights in the platform or otherwise attempt to pass yourself off as us, including but not limited to
(i) The use of our logo and or any of our promotional material without our permission that must be given in writing
(ii) Any attempt to replicate our platform, or any part of it, by reverse engineering or otherwise
(g) You must not interfere or attempt to interfere with the operation of the platform, including but not limited to (i) Introducing or attempting to introduce any virus or other malware into the platform
(ii) Making any attempt, for any purpose, to circumvent the proper working of the platform for profit or otherwise.
(iii) Making any attempt, for any purpose, to breach the security measures in place on the platform either physically by interference with the operation of the platform itself or by misrepresentation or use of false information
6.2. Reporting a breach of the Rules of Conduct –
(a) if you consider that any fundraiser or donor or other user is breaching or has breached any of these rules or the Rules for Fundraiser Conduct please contact us at Contact@raiseitup.com
(b) if you consider that any material, in which you have copyright, is being used without your permission please contact us at Contact@raiseitup.com
(c) If you consider that any fundraiser or donor or other user has breached or is breaching
(d) your privacy or that of any other person is, please contact us at Contact@raiseitup.com
7.1. When you log on to the mobile app you may receive a text to verify that you are the account holder. You agree to receive such automated text messages from us to the mobile phone number provided. If you change your mobile phone number you agree to update your account information in a timely manner.
8.1. We reserve the right to modify, suspend or discontinue the platform at any time.
9.1. We will only use your personal information as set out in our {LINK TO PRIVACY POLICY]
10.1. In the event that you have a dispute about any payment made to a fund you must raise it with the payment handler https://stripe.com/gb/legal or directly with the fundraiser. If it is a dispute about money wrongly paid (via fraudulent transaction or similar) or a payment that for any reason you want returned, you accept that it is not in our power to resolve and will be resolved by the payment handler in accordance with their terms and conditions, however please also let us know, particularly if your reason for seeking the return of the payment is that you believe the fundraiser has breached our rules of conduct. Please contact us at Contact@raiseitup.com. We will do what is in our power to assist you with the dispute but we do not promise, warrant or guarantee the return of any money to you.
10.2. If you have any other dispute that you wish to raise with us please contact us at Contact@raiseitup.com but please be aware that it is and remains your responsibility to decide whether you wish to use the platform and to decide whether you wish to engage with any other user as fundraiser, donor or otherwise. We will use our best endeavours to ensure that our users follow the rules for using the platform but we do not promise, warrant or guarantee that they will do so.
11.1. Raise it up provides the platform as it is and as it is available. We do not promise, warrant or guarantee that the platform will be available without interruption or at all. Whether by reason of factors within or outside of our control.
11.2. We do not warrant or guarantee the conduct of any user of the platform in any way nor their use of any funds raised.
11.3. We do not in any way warrant or guarantee the performance of the payment handler.
11.4. We do not provide any warranty or guarantee in respect of your use of the platform save that we do not exclude or limit in any way our liability to you where it would be unlawful to do so.
11.5. Limitation of Liability – You expressly agree that,
(a) Raise it up will not be liable for losses relating to any business of yours, or lost or corrupt data, loss of profits, loss of contracts, loss of business opportunity, loss of sales, loss of revenue, loss of goodwill, loss of any software or data, loss of bargain, loss of opportunity, loss of use of computer equipment, loss of or waste of management or other staff time even if we have been advised of the possibility of such damages.
(b) In the event that Raise it up is liable in any way to you we will only be liable for direct losses which are reasonably foreseeable and which are caused by our uncured material breach of these terms or our negligence.
11.6. Nothing in these Terms and Conditions excludes any statutory rights which may apply to you which cannot be excluded, modified or restricted by contract.
12.1. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
13.1. We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation.
13.2. Each of these terms of the agreement operates separately. If any court or relevant authority decides that any of the terms of the agreement are unlawful either wholly or partially then those parts that are unlawful will not take effect. The rest of the agreement will remain in full force and effect.
13.3. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
13.4. You agree to pay any legal, enforcement or other costs of Raise it up for any court action between yourself and Raise it up.
14.1. All content on the Raise it up website and its associated services is owned by Raise it up limited and is protected by intellectual property and proprietary rights and law. No use of the website and associated services content is permitted without the prior permission of Raise it up.
15.1. Raise it up respects all intellectual property rights of others and requires all users of the Raise it up platform to do the same. If you believe any user or fundraiser has used any of your intellectual property on our platform that you believe constitutes infringement, please email us at contact@raiseitup.com with the following information: • A description of the work you can claim has been infringed, such as screenshots and the website page address associated to it. • An physical or electronic signature of a person authorised to act on behalf of the owner of the copyright material that you believe is infringed on our platform. • Your full name, address, mobile number and email address.
16.1. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts.
16.2. You also agree to submit all unresolved disputes between us to arbitration administered by the International Centre for Dispute Resolution (“ICDR”) and governed by the ICDR Arbitration Rules (“ICDR Rules”) then in effect, except that either you or Raise it up may seek injunctive relief for 10 infringement of intellectual property rights or other proprietary rights in court. For all arbitrated matters, one (1) arbitrator will be appointed under the ICDR Rules, and the locale of arbitration will be London, England, unless the parties mutually agree to another locale before appointment of the arbitrator.
16.3. You agree to pay the reasonable legal and other costs of Raise it up in regard and/or relation to injunctive relief, if sort by either party.
